Agreement to Terms

By accessing or using Best-Boy Technology Services, operated by Udooku LLC (“we,” “our,” “us,” or “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.

Services Description

Best-Boy provides technology support services including:

  • AI-powered chatbot and email support
  • Phone and remote technical support
  • On-site technical support (South Bay LA region)
  • Business IT support and maintenance

Fair Usage Policy

To ensure quality service for all customers, our comprehensive phone and remote support services are subject to the following fair usage limits:

Phone Support Limits

  • Maximum 2 phone support calls per month (24 calls per year for annual subscribers, 2 calls per month for monthly subscribers)
  • Maximum 30 minutes per call
  • Calls exceeding 30 minutes may be subject to additional fees or may be scheduled as a follow-up session

Remote Assistance Limits

  • Maximum 30 minutes per remote session
  • Complex issues requiring extended time may be scheduled across multiple sessions or quoted separately

Exceptions and Overages

We understand that some technical issues require additional time or support. If you exceed these limits:

  • We will notify you before any additional charges apply
  • Additional support may be purchased at our standard hourly rate
  • Business customers may request custom support packages with higher limits

These limits are designed to prevent abuse while ensuring all customers receive prompt, quality support. Most customers find these limits more than sufficient for their needs. If you consistently require more support, please contact us about upgrading to a business plan or custom support package.

Account Registration and Subscription

To use certain Services, you must create an account and subscribe to a service plan. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

Payment and Billing

Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

Cancellation and Refunds

You may cancel your subscription at any time. Annual subscriptions canceled before the end of the term will receive a prorated refund for unused months. Monthly subscriptions remain active until the end of the current billing period.

Remote Support Access

By using our remote support services, you grant us temporary access to your device. You agree that:

  • You have the authority to grant access to the device
  • You will back up important data before remote sessions
  • You understand that remote access is provided via secure, encrypted connections
  • We are not liable for data loss or damage except as caused by our gross negligence

On-Site Support

On-site support is available in the South Bay LA region. You agree to:

  • Provide a safe working environment for our technicians
  • Be present or designate an authorized representative during the visit
  • Pay the visit fee and hourly rate as specified in your service agreement
  • Provide 24-hour notice for cancellations to avoid cancellation fees

Acceptable Use

You agree not to:

  • Use our Services for any illegal or unauthorized purpose
  • Abuse, harass, or threaten our support staff
  • Attempt to gain unauthorized access to our systems
  • Share your account credentials with others
  • Use our Services to transmit malware or harmful code
  • Reverse engineer or attempt to extract source code from our Services

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEST-BOY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Warranty Disclaimer

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Indemnification

You agree to indemnify and hold harmless Best-Boy and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our Services or violation of these Terms.

Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and AI models, are owned by Best-Boy and protected by copyright, trademark, and other intellectual property laws.

Termination

We reserve the right to suspend or terminate your account and access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California. Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of our Services after changes constitutes acceptance of the modified Terms.
